With the recent and ongoing instability in the stock market, companies are having to give second looks to their equity compensation programs, as the assumed value of these programs can be thrown into question when stocks take a dip. Mims and Gina will walk us through:

  • Managing equity plan share reserves in a volatile market
  • Inducement plans as a tool for new hire equity grants
  • Traps for the unwary when making retention grants
  • Repricing stock options, including tax and securities law implications


Presenters:

Mims Maynard Zabriskie advises on complex executive compensation and employee benefit plan matters, including the design, negotiation, and implementation of executive compensation, equity compensation, and tax–qualified retirement plans and shareholder approval of equity plans. She counsels large publicly and privately owned businesses, including Fortune 500 enterprises, as well as technology companies, colleges and universities, and other non-profit entities, on a range of legal issues related to executive compensation governance, and employee benefit plans.

Gina L. Lauriero advises clients across the spectrum of employee benefits and executive compensation matters. Her practice encompasses designing, implementing, and administering equity, incentive compensation, nonqualified deferred compensation, employment, and severance plans and agreements for public and private companies. When clients undertake mergers, acquisitions, and other corporate transactions, she offers advice on all employee benefits and compensation-related aspects. Gina’s recent work has included advising a credit ratings agency on its acquisition of a leading provider of analytical tools and data.
